Investment Framework

All opportunities are reviewed and presented using ReCapXChange’s Investment Rating Matrix, which evaluates:
  • Sponsor Capability: track record, capitalization history, operational capacity
  • Asset Fundamentals: location, tenancy, market supply/demand, replacement cost
  • Structure & Alignment: capital stack, fees, promotes, downside protection
  • Return Profile: base case, downside, upside, and sensitivity analysis
  • Execution Risk: approvals, construction, leasing, refinancing, or disposition risks

Compliance and Eligibility

Participation is restricted to investors who:
  • Complete Know Your Customer (KYC) and identity verification
  • Execute a Risk Acknowledgement Form
  • Meet one or more NI 45-106 Accredited Investor Criteria

NI 45-106

You May Qualify If You Meet Any of the Following:
  • Net income before taxes exceeding $200,000 in each of the two most recent years (or $300,000 combined with a spouse), with a reasonable expectation of the same this year
  • Financial assets exceeding $1 million (excluding primary residence), net of liabilities
  • Net assets of at least $5 million, individually or with a spouse
